Terms of Service

These Terms of Service ("Terms") govern your access to and use of Xovron, a cloud-based global automation platform operated by Joorus Inc., a corporation incorporated in Canada ("Xovron", "we", "us"). By creating an account or using our service you agree to these Terms.

1. Service Description

Xovron provides AI-powered financial document extraction, approval workflow management, and accounting software integration. The service uses AI to extract data from uploaded documents. All AI extractions are presented for human review and require approval before posting to any accounting system.

2. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old and authorised to bind your organisation to these Terms. Business accounts are managed by the Account Owner (who sets up the company and approves documents). Owners may invite Submitters (staff who upload documents) and Managers (first-level approvers for Professional/Agency plans).

3. Acceptable Use

You may only upload documents you own or have authorisation to process. You may not use Xovron to process fraudulent, forged, or illegally obtained documents. You may not reverse engineer, scrape, or abuse the API. You may not share your account credentials with third parties.

4. Subscription and Billing

Subscriptions are billed monthly or annually in advance. Prices are in your local currency unless otherwise stated. You authorise Xovron to charge your payment method on each billing date. Monthly plans & Annual Plan: no refunds after payment. Failed payments result in account suspension after a grace period of 6 days.

5. Data Ownership

You retain full ownership of all data you upload to Xovron. We do not claim any rights to your financial documents. By uploading documents you grant us a limited licence to process them to deliver the service. We do not sell, share, or use your financial data for any purpose other than delivering the Xovron service.

6. AI Processing Disclosure

Documents uploaded to Xovron are processed by AI for data extraction. This processing occurs on AI service provider's servers. By using Xovron you consent to this processing. All AI-extracted data is subject to human review before any accounting entries are created. Xovron does not guarantee 100% extraction accuracy.

7. Data Security

We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.3 in transit, multi-factor authentication, and row-level data isolation between users. We maintain SOC 2 practices for access control and audit logging. Security incidents will be disclosed per applicable law.

8. Account Termination

You may cancel your subscription at any time via Settings > Billing. On cancellation, your account enters a 90-day read-only grace period. After 90 days, all data is permanently and irreversibly deleted. Xovron may terminate accounts for violation of these Terms with 30 days notice except in cases of fraud.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XOVRON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario. If you are a consumer in the EU, you may also benefit from mandatory consumer protection laws in your country of residence.

11. Changes to Terms

We may update these Terms with 30 days notice via email and in-app notification. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
